Main Documents

Documents must be prepared in Czech or accompanied by a certified translation. The choice of legal address is critical, as it determines the jurisdiction of the commercial court and tax obligations.

Share Capital:

The minimum capital for an s.r.o. is 1 CZK, but in practice it is recommended to set at least 200,000 CZK to demonstrate credibility to partners and creditors. Funds are deposited into a temporary bank account of the future company, after which the bank issues confirmation.

Notarial certification of documents is mandatory. A notary certifies signatures and copies of IDs. The cost ranges from 5,000 to 7,000 CZK. After notarization, documents are submitted to the commercial court.

The court reviews the application within 2–4 weeks. The registration fee is 2,000 CZK. After approval, the company receives an identification number (IČO) and is entered into the commercial register.

Tax Registration:

The next step is registration with the tax authority for a tax number (DIČ). If the annual turnover exceeds 1,000,000 CZK, VAT registration is mandatory.

If hiring employees, the company must register with the social security system (ČSSZ) and choose a health insurance provider. The process usually takes 3–5 business days.
