What laws govern business in Croatia?
The procedure for establishing and operating companies and taxes in Croatia is regulated by a set of legislative acts, the main ones of which are listed below:
- Companies Act (Zakon o trgovacima) – the main law regulating the establishment, operation and liquidation of companies, determining the legal status of various business forms (d.o.o., d.d., j.d.o.o., obrt) and regulating the rights and obligations of participants/shareholders and managers.
- Companies Register Act (Zakon o sudskom registru) – the law regulating the procedure for entering companies into the commercial register, determining the requirements for documents required for registration, and regulating the procedure for approving the company name.
- Electronic Commerce Act (Zakon o elektroničkoj trgovini) – the law on electronic commerce regulates official and procedural registrations, determines the legal status of electronic documents and establishes the legality of the use of digital signatures.
- National Classification of Activities Act (Zakon o nacionalnoj klasifikaciji djelatnosti) – the law determines the classifier of types of activities and establishes rules for determining the main subject of activity of companies.
- Income Tax Act (Zakon o porezu na dobit) – the law on income tax regulates corporate tax, including rates, base and benefits, determines the rules for taxation of residents and non-residents, and also establishes special tax regimes, such as Free Zones.
- Free Zones Act (Zakon o slobodnim zonama) – the law on free zones determines the legal status of free zones, regulates benefits for companies operating in these zones, and establishes requirements for obtaining the status of a resident of a free zone.
- Investment Promotion Act (Zakon o pozitanja ulaganja) – the law regulates investment incentives and defines benefits for certain industries, such as IT, tourism and green technologies.

Company Registration Procedure in Croatia
The process of registering a company in Croatia includes four key steps:
- Name Approval. The name must be unique, meet the requirements of the Trgovacki Sud (Commercial Court), include the business form (e.g. “d.o.o.”), and avoid common words without an identifier. Deadline: 1–2 business days.
- Document Preparation. Required founding documents (Articles of Association, OIB application, Registration Form 1a), documents for managers/shareholders (copy of passport, proof of address (not older than 3 months), certificate of no criminal record);
- Document Submission. Via the online e-Sužba system or in person at the Trgovacki Sud office (e.g. in Zagreb). Deadline: 3–5 business days.
- Document Receipt. Upon approval, a Certificate of Registration (Rješenje), Articles of Association with a court seal, Tax Identification Number (OIB) (automatically assigned), and necessary documents for registration are issued.
Main taxes for businesses in Croatia
- Corporate tax: 18% (standard rate).
- Dividend tax: 0% for Croatian residents; 12% for non-residents (subject to double taxation agreements).
- VAT (PDV): 25% (standard rate).
- Income tax: 0% for reinvested profits.
Special tax regimes
- Free Zones (Special Economic Zones) – corporate tax exemption for 10 years (Locations: Rijeka, Varaždin, Zagreb).
- Incentives for Tech Companies – 50% corporate tax discount for IT companies.
- Tourism Incentives – tax holidays for hotel complexes in Dalmatia.

Opening a bank account in Croatia: what is the procedure?

- Process: Filling out the application online or in a branch, verification through a legal entity.
- Update 2025: Digital initiatives (launch of online platforms for opening accounts (Zagrebačka, Privredna), automatic verification via e-OIB), increased requirements (mandatory presence of Substance (office, staff) to comply with AML procedures), banking changes (implementation of Open Banking: Integration with European platforms).
Therefore, registering a company in Croatia is attractive due to favorable taxes and digital initiatives. However, for non-residents, it is important to consider the requirements for the presence of a real business (Substance) and language barriers. After 2025, simplification of procedures is expected through online platforms, but increased regulatory control.
