Company registration in Montenegro
Montenegro has in recent years regularly appeared on the list of jurisdictions considered by entrepreneurs from Ukraine and other countries for company registration. The reason is the combination of a relatively low corporate tax, a simple registration procedure, and the possibility of using a company as grounds for obtaining a temporary residence permit.
At the same time, Montenegro is not a classic offshore jurisdiction. Businesses must maintain accounting records, submit tax reports, and interact with local banks, which are increasingly applying compliance procedures. In addition, the country’s domestic market is small, so most foreign companies use Montenegrin structures for international activities or as a business relocation tool.
Main taxes payable in Montenegro
Montenegro’s tax system is considered one of the simplest in Europe.
Main taxes for businesses:
Corporate Income Tax (CIT)
- 9% — on profits up to €100,000
- 12% — from €100,000 to €1.5 million
- 15% — above €1.5 million
For small businesses, this is one of the lowest rates in Europe.
Value Added Tax (VAT)
- standard rate — 21%
- reduced rate — 7% for certain goods and services
VAT registration is mandatory if turnover exceeds approximately €30,000 per year.
Dividend tax
— 15%
Social contributions on salaries
— approximately 30% of the employee’s salary.
An advantage of the jurisdiction is the absence of local corporate tax, which simplifies the taxation structure.
A drawback is that with active business operations, the total tax burden, including salaries and dividends, may reach 25–30%.
Stages of company registration
The company registration process in Montenegro usually takes 5–10 business days after document preparation.
Typical stages:
Stage 1. Choosing a company name
The name is checked in the state CRPS register.
For example:
“Adriatic Consulting DOO”.
Stage 2. Preparation of incorporation documents
— articles of association
— incorporation decision
— information about the director and founders.
Stage 3. Registration in the Central Register of Business Entities
After submitting the documents, the company receives:
- registration number
- tax number (PIB).
Stage 4. Opening a bank account
The most commonly used banks:
- CKB Bank
- Erste Bank
- NLB Bank.
Stage 5. Tax and VAT registration (if required)
Stage 6. Registration of the director and employees in the social insurance system.
To register a company, the following are usually required:
- Founder’s passport For example: a Ukrainian entrepreneur opens a DOO for IT services.
- Articles of Association
It defines:
- business activity
- share capital amount
- director.
- Registered address
For example:
Podgorica or Budva.
A leased address or virtual office is often used.

The founder may act as the director.
- Registration of the Ultimate Beneficial Owner (UBO).
If documents are foreign, they must be translated into Montenegrin and notarized.

DOO (Društvo sa ograničenom odgovornošću)
Equivalent of an LLC.

Preduzetnik
Equivalent of a sole proprietor.

Income is taxed at rates of 0–15% depending on income.

Montenegro is a relatively simple jurisdiction for starting a business in Europe. A low corporate tax (from 9%), minimal share capital requirements, and the possibility of obtaining a residence permit make it attractive for small and medium-sized businesses.
