RENT OF ADDRESSES FOR THE COMPANY. VIRTUAL OFFICE IN SPAIN
In Spain, renting a legal address (domicilio social) and using a virtual office (oficina virtual) is a mandatory part of business registration for entrepreneurs and companies, regardless of whether they have a physical office.
According to Spanish law, every company must have an official address, which is recorded in the Register of Legal Entities (Registro Mercantil Centrale).
This address (virtual office) must meet the following requirements:
- Be a real physical location that can be used to receive correspondence.
- Provide the ability to receive tax notifications (notificaciones tributarias).
- Comply with local regulations regarding business registration (normativas locales y mercantiles).
What is a legal address?
The legal address (domicilio fiscal y social) is the official place of registration of a company, which is used to communicate with government agencies, banks and counterparties. In Spain, a legal address is a prerequisite for registering a business in the Commercial Register (Registro Mercantil Centrale) and obtaining a tax number (NIF – Número de Identificación Fiscal).
A legal address can be used not only for the official registration of a company, but also for receiving correspondence, communicating with the tax authorities (Agencia Tributaria), concluding contracts and submitting applications for financing.
It is important to note that the legal address does not necessarily have to coincide with the actual place of business of the company.
This is especially true for online businesses, international companies and entrepreneurs who work remotely.
Some key functions of a legal address:
- Use in public registers (Registro Mercantil) and on official documents;
- Receiving official mail, court notices and tax requests (notificaciones fiscales);
- Opening bank accounts in Spanish financial institutions;
- Providing a prestigious image to the company if it is registered in a well-known business center.
What is the difference between a legal address and a virtual office?
A virtual office (oficina virtual) is a service that allows a company to use a legal address without the need for a physical presence.
The main benefits include:
- Reduction in rental costs and administrative expenses.
- Increasing the prestige of the company through registration in a well-known business center.
- Receiving mail and correspondence without the need for personal presence.
- Possibility of using conference rooms (salas de reuniones) and secretarial services (servicios de secretaría).
How to rent a legal address in Spain?
- Choosing a service provider – our company “Prikhodko & Partners” provides virtual office services (oficina virtual) in Spain and other countries around the world.
- Conclusion of a contract (contrato de prestación de servicios) – a contract for renting a legal address must contain all the necessary terms of use.
- Providing documents — to register a company at a virtual address, you will need the company’s founding documents (Escritura de Constitución, CIF/NIF, Modelo 036/037).
- Receiving confirmation – after concluding the agreement, the company receives official confirmation of registration at the new address.
Tax aspects of using a virtual office
The use of a virtual office does not exempt the company from tax obligations before the Agencia Tributaria. The tax authorities may verify the actual activities of the company, especially if it operates only through a virtual address without a physical presence in the country.
In Spain, tax obligations depend on several factors, including the type of company (SL, SA), its revenue, the number of employees and the place of actual activity.
The main taxes that a company must pay are:
- Corporate tax (Impuesto sobre Sociedades) – standard rate of 25%, however, a reduced rate of 15% may apply for new businesses for the first two years of profitable activity.
- VAT (IVA – Impuesto sobre el Valor Añadido) – the standard rate is 21%, but for some types of goods and services it may be 10% or 4%.
- Non-Resident Income Tax (IRNR – Impuesto sobre la Renta de No Residentes) – applies if the company is registered in Spain, but the owners or beneficiaries are non-residents.
- Social Security Contributions (Cotizaciones a la Seguridad Social) – if a company has employees, it must pay social security contributions (about 30% of the employee’s salary).
To avoid problems with tax authorities, it is important to keep detailed records of your company’s activities and submit reports within the established deadlines.
If using a virtual office, you should have proof of actual business operations, such as contracts with customers or agreements with suppliers.
