Company registration in Lithuania
The most common forms of doing business in Lithuania are:
- UAB (Uždaroji akcinė bendrovė) — closed joint-stock company (analogous to Ltd)
- IĮ (Individuali įmonė) — individual enterprise
- AB (Akcinė bendrovė) — public joint-stock company
- MB (Mažoji bendrija) — small company.
The most popular form is UAB due to its flexibility and low authorized capital.
Company registration procedure in Lithuania
The registration process consists of the following stages:
Approval of the company name
The name must be unique and meet the requirements of the Registrų centras (Register of Legal Entities). Indication of the business form (e.g. “UAB” or “LTD”). Prohibition of the use of common words without adding an identifier (e.g. “Tech” + “UAB”). Time frame: 1–2 business days.
Preparation of constituent documents
- Įstatuoti dokumentai (Statutes) – the company’s charter.
- Registracijos prašymas (Registration application) – a form filled out through REGFOX.
- Mokesčių identifikatijos numeris (MĮN) – an application for a tax number.
Documents for directors and shareholders:
- Copy of passport or ID card.
- Adreso patvirtinimas (Confirmation of address):
- Utility bill.
- Bank statement.
- Nusikaltimų nebuvimo liudijimas (Criminal record certificate).
Submission of documents via the REGFOX online system
- Electronic submission: Via the REGFOX platform (integrated with the Register of Legal Entities).
- Physical submission: To the office of the Registrų centras in Vilnius or another city.
- Deadline: 3–5 business days.
Obtaining a registration certificate
- Įmonės Registracijos Liudijimas (Certificate of Registration).
- Įstatuotas Aktas (Statutes with a seal).
- Mokesčių Identifikacijos Numeris (MĮN) – a code, automatically assigned.
Documents required for registration
From directors:
- Passport or ID card (copy and original for verification).
- Proof of address.
- Utility bill.
- Bank statement.
- Certificate of no criminal record (for managers).
From shareholders:
- Copy of passport or ID card.
- Proof of address (similar to directors).
From the company:
- Address of registered office in Lithuania (required).
- Amount of authorized capital: UAB minimum 1 EUR, AB from 40,000 EUR.
Tax aspects
- Corporate tax: 15% (standard rate).
- Dividend tax:
- 0% for Lithuanian residents.
- 10% for non-residents (subject to double taxation agreements).
- VAT (PVM): 21% (standard rate).
- Income tax: 0% for reinvested profits.
Special tax regimes
Special Economic Zones (SEZ):
- Corporate tax exemption for 10 years.
- Locations: Kaunas, Klaipeda, Vilnius.
Incentives for Tech Companies:
- 50% corporate tax discount for IT companies.
Green Energy Incentives:

Opening a bank account in Lithuania
The procedure for opening a bank account consists of:
- Choosing a bank: Swedbank (the largest bank), SEB (popular for business), Luminor (online solution).
- Required documents: Company registration documents, directors’ documents (passport, proof of address), business plan (for new companies).
Process:
- Filling out an application online or in a branch.
- Verification through Registrų centras.
