Mandatory financial reporting and submission deadlines
All legal entities registered in Estonia, regardless of their activity, must submit annual financial statements to the Commercial Register.
This rule applies to both traditional Estonian companies and enterprises established by foreign investors, including e-residents who have taken advantage of the unique opportunity to manage their business remotely.
Even if a company has not carried out any commercial activity during the reporting period, it is still required to file an annual report in the form of a so-called “zero report.”
This requirement is aimed at maintaining the relevance of information in the Commercial Register and ensuring transparency in the country’s corporate sector.
A typical reporting package includes:
- Balance (financial statement)
- Income statement (comprehensive income statement)
- Cash flow statement
- Statement of changes in equity
- Notes to the financial statements
For micro-enterprises, an abbreviated annual report may be prepared, including only the balance sheet and profit and loss account with up to three notes.
It is critical to meet reporting deadlines. The annual report must be filed with the Commercial Register within six months of the end of the financial year.
For most companies that use the calendar year as their financial year, this means a mandatory filing by June 30. Failure to meet these deadlines can result in fines and negatively impact the company’s reputation.
VAT and tax planning features

For companies engaged in e-commerce within the European Union, the One-Stop Shop (OSS) system is particularly relevant, as it allows for the optimization of VAT reporting procedures.
Companies that make mail-order sales to other EU countries for an amount exceeding EUR 10,000 per year can join this system and submit a single quarterly declaration instead of multiple declarations in different countries.
Audit and internal control
Auditing requirements in Estonia are differentiated depending on the type and size of the company.
Auditing is mandatory for the following entities:
- Joint-stock companies with more than two shareholders
- Local governments and state legal entities
- Political parties receiving funds from the state budget
- Funds
- Companies in which the state has decision-making rights
For other companies, an audit may become mandatory if their annual report exceeds statutory criteria.
These thresholds are periodically reviewed and adapted to economic conditions, ensuring a reasonable balance between the need for independent control and the costs of conducting it.
Even if an audit is not mandatory, many companies voluntarily undergo audits to increase the trust of investors, partners and creditors.
