Natural gas distribution license
Within the framework of the Association Agreement between Ukraine and the EU, the natural gas market becomes one of the key areas of reform.
The EU directive on common rules of the internal natural gas market provides for:
- Liberalization of the gas market to ensure competition;
- Protection of consumer rights and provision of access to services under fair conditions;
- Ensuring independent market regulation and transparency in the activities of operators of gas transportation systems.

The main regulatory act in Ukraine that regulates licensing in the field of energy, in particular gas distribution, is the Law of Ukraine “On the Natural Gas Market”. This law defines the legal, economic and organizational principles of the functioning of the gas market, and also contains provisions on the procedure for granting licenses to business entities operating in this area.
At the same time, according to the Law of Ukraine “On Licensing of Types of Economic Activities”, the provision of natural gas distribution services is classified as types of economic activity that are subject to mandatory licensing and is conditioned by the high level of responsibility that business entities bear to consumers and the state.
The state regulator that oversees activities in the field of gas distribution is the National Commission for State Regulation of Energy and Utilities (NKREKP). It grants licenses, monitors compliance with license conditions and applies sanctions for violations of licensing rules.
To obtain a license for the distribution of natural gas, the company must meet a number of requirements:
- Requirements for authorized capital. A company applying for a license must have a minimum authorized capital that guarantees the financial ability to ensure uninterrupted supply and distribution of natural gas to consumers. This capital should also ensure the possibility of investing in the maintenance and development of the gas distribution infrastructure, as well as compliance with safety standards.
- Technical capacity – the company has the necessary technical base for gas distribution. This includes:
- availability of networks that meet security standards;
- maintenance of the proper level of operation of networks and equipment;
- investments in modernization and renewal of infrastructure to minimize gas losses during its transportation.
- Personnel qualifications. Availability in the company of highly qualified personnel who have the appropriate education and experience to carry out gas distribution activities. The legislation defines requirements for the level of qualification of management and engineering and technical personnel. This should ensure effective management of the gas distribution system and compliance with regulatory requirements.
- Compliance with environmental and technical standards –in particular, to reduce greenhouse gas emissions, as well as minimize gas losses during its transportation. This is ensured thanks to the introduction of modern technologies and the modernization of gas distribution systems.
- Absence of negative information –in relation to the founders, management and key persons of the company in the registers related to bankruptcy, financial crimes or other offenses. This requirement provides confidence in the company on the part of consumers and the regulator, and also guarantees the proper level of corporate governance.
The process of obtaining a license for the distribution of natural gas in Ukraine is regulated by clear procedures defined by the NCRECP.
The procedure includes the following stages:
- Preparation and submission of documents
In order to obtain a license, the company must submit a package of documents to the NKREC, which includes:
- application for obtaining a license;
- information about the ownership structure of the company;
- confirmation of compliance with the requirements for technical capacity, authorized capital and personnel qualifications;
- financial reporting;
- documents confirming the absence of negative information about the founders and managers of the company.
- Checking documents and making a decision
NKREKP carries out a detailed check of submitted documents and assesses the company’s compliance with licensing requirements. At this stage, the regulator may request additional information or conduct an on-site inspection to assess the technical condition of gas distribution networks.
After completion of the inspection, the NCRECP makes a decision on granting or refusing to grant a license.
Reasons for refusing a license can be:
- non-compliance of the company with license requirements;
- the presence of negative information about the founders or managers;
- detection of falsification of documents;
- technical inability to carry out gas distribution activities.
The legislation of Ukraine provides for various forms of liability for violation of license conditions.
NCREKP has the right to impose sanctions on operators who do not comply with the established requirements, including:
- Fines for violation of license conditions;
- Termination of license in case of systematic or serious violations;
- Restrictions on activity or imposing temporary bans on the implementation of certain types of operations.
These measures are aimed at ensuring the responsibility of companies before the state and consumers, as well as at preventing unfair competition in the natural gas market.
