Registration of a representative office of a foreign company in Ukraine

First of all, the representative office of a foreign company in Ukraine is an institution that represents the interests of a foreign company in Ukraine and has the appropriate authority to do so, properly formalized.

The representative office is not a legal entity (therefore, there is no requirement for the statutory capital) and does not independently carry out economic activity.

It acts exclusively in the name and on behalf of its founder, who is indicated in the registration certificate.

For registration, it is necessary to submit an application and a package of documents directly to the Ministry of Economy of Ukraine.

Statement

The application is submitted in an arbitrary form on company letterhead signed by the manager and must contain the following information:

• Location of the foreign company;
• Name of the representative office;
• Location of the representative office;
• The field of activity of the representative office.

Documents

The package of documents attached to the application includes:

• Extract from the trade register of the country where the officially registered main management body of the foreign business entity is located
• Certificate from the bank in which the account of the foreign economic entity is opened
• A power of attorney (for a specific person) to perform representative functions in Ukraine, specifying the powers, which is drawn up by the laws of the country where the foreign business entity is officially registered

IMPORTANTLY! Documents are notarized at the place of their issuance and duly legalized in consular institutions of Ukraine unless international treaties of Ukraine provide otherwise; then they are translated into Ukrainian and certified with the stamp of an official translator.

After the Ministry of Economy examines the documents for compliance with the current legislation of Ukraine, it prepares a letter to the company’s address for payment of the administrative fee, which currently amounts to 2,684 hryvnias.

Registration terms

The Ministry of Economy of Ukraine is obliged to consider the application and documents and make a decision on the registration of the representative office or on the refusal to register no later than 60 working days from the date of their submission.

Refusal of registration

The Ministry of Economy of Ukraine has the right to refuse to register a representative office if:

• The application does not meet the requirements established by law;
• The documents submitted together with the application do not meet the requirements established by the law;
• A foreign company does not have the right to establish a representative office in Ukraine.

Decision on registration

In case of a positive decision on registration, the Ministry of Economy of Ukraine issues a certificate of registration of the representative office. This certificate can be obtained by the Director of the representative office or an authorized person by proxy, and on the copy of the certificate make a note about its receipt.

The field of activity of the representative office

The representative office of a foreign company in Ukraine can carry out activities in the field corresponding to the field of activity of the foreign company that creates it.

Employees of the representative office

Employees of the representative office are not required to obtain an employment permit. They are issued an official card by the Ministry of Economy.

If we are talking about foreign employees of the representative office, the Migration Service of Ukraine issues them a temporary residence permit in Ukraine for 1 year, even if the service card is issued for a longer period.
