Business registration abroad
In 2025, more than 35% of Ukrainian small and medium-sized companies are considering opening a business abroad.
Among the most popular destinations are Poland, Lithuania, the Czech Republic, Estonia, Cyprus, the United Kingdom and the UAE. The corporate law practice of “Prikhodko and Partners” accompanies dozens of such cases every month.
In this article, we will tell you what taxes need to be paid, what is included in the typical registration procedure, what package of documents is needed and how we can help you.
Main taxes paid in most countries
Most countries apply three main types of taxes to legal entities:
- Corporate income tax – on average ranges from 9% (Hungary) to 25% (Germany, France).
- VAT – the VAT rate is usually 20-23%. For example, in Poland – 23%, in Lithuania – 21%, in the Czech Republic – 21%.
- Social security contributions and payroll taxes – are usually shared between the employer and the employee. For example, in Lithuania, the total burden on the employer is up to 30%.
Additionally, some countries have taxes on dividends, capital gains, or taxes for fictitious residents (Controlled Foreign Company Rules – CFC).
Stages of company registration abroad
The classic company registration process includes several key stages:
- Choice of jurisdiction: Tax conditions, requirements for authorized capital, language of communication with the registrar, cost of accounting, etc. are taken into account.
- Preparation of constituent documents: Charter, founders’ decision, agreement between participants (if more than one), powers of attorney.
- Filing with the registry: In many countries this can be done online (for example, in Estonia, Lithuania, Czech Republic).
- Opening a bank or payment account: At a bank or financial institution like EMI (e.g. Payoneer, Revolut, Paysera).
- Post-registration support: Obtaining a VAT number, registering with the tax office, preparing and concluding contracts, finding an accountant and other employees.
🟢 Example: in Lithuania, registering a UAB (analogous to an LLC) takes 3–5 days and requires a minimum capital of 1,000 euros.
Typical package of documents: interesting examples
Documents most often requested when registering a business:
- Passport and proof of address (e.g. utility bill).
- The founder’s decision to establish a company.
- Articles of Association (in some jurisdictions – notarized).
- Power of attorney, if the registration is carried out by a representative.
- Confirmation of contribution to the authorized capital.
🟢 Interesting example: In the Czech Republic, the charter must be notarized, and to open an account, you must personally visit the bank or authorize a representative with a notarized power of attorney.
Analogues of LLC abroad
Depending on the country, a business can register in the form of:
- LLC/UAB/SRL/GmbH – analogues of Ukrainian LLC. Often require authorized capital and provide for limited liability.
- Freelancer/Self-employed/Sole trader – analogues of the sole proprietorship. Suitable for IT specialists, designers, consultants. For example, in Portugal the form “Recibos Verdes” is popular, in France – “Micro-entrepreneur”.
- SPV / Holding Company – special structures for investments, asset allocation or tax optimization.
🟢 Example: in the UK, the most popular form is the Private Limited Company, which can have one director and one shareholder.
