Which documents are required to get started?

The final list of documents depends on who will act as founder and director, which business activities are planned and whether special permits are required. Foreign documents may require an official translation and proper certification.

Share capital and registered office of an s.r.o.

The minimum share capital of a Slovak s.r.o. is €5,000. The amount of each shareholder’s contribution and the procedure for forming the capital must be properly reflected in the incorporation documents.

The company must also have a registered office in Slovakia. Its use requires a proper legal basis and the consent of the property owner. The address is used for official correspondence, interaction with public authorities and determining the company’s territorial jurisdiction.

Corporate account and banking compliance

Registration of an s.r.o. does not guarantee the automatic opening of a corporate account. A bank or payment institution separately analyses the founders, ultimate beneficial owners, type of activity, source of funds, geography of operations, future counterparties and projected turnover.

This is why it is better to determine the account format before registration is completed. Depending on the business model, a Slovak or another European bank, as well as an EMI payment institution, may be considered.

Taxes and VAT in Slovakia

The tax model should be assessed before the business is registered. The actual burden depends on the form of activity, turnover, expenses, residence of the owners, method of profit distribution and structure of international operations.

After the business is entered in the register, regular administration must be set up. Formal registration without accounting, correspondence monitoring, an account and tax planning may create risks from the very first stages of operation.

Residence permit based on business activity

Registration of an s.r.o. or živnosť may be one of the elements in preparing an application for or extension of a residence permit in Slovakia. However, business registration itself does not automatically result in obtaining a residence permit.

The immigration aspect depends on the applicant’s citizenship, basis of stay, financial resources, genuine nature of the business activity, tax indicators, absence of outstanding debts and other circumstances. Therefore, the business and immigration strategy should be analysed comprehensively.

How long does company registration take?

Registration as a sole proprietor (živnosť) usually takes up to 4 business days. Registration of a full limited liability company (s.r.o.) takes 7–10 days from the date all required powers of attorney are signed.

Can I open a company remotely without travelling to Slovakia?

Yes, the registration of a company or sole proprietorship can be completed entirely remotely on the basis of a notarised power of attorney. However, your personal visit will be required to submit biometric data for a residence permit to the immigration police, as well as for final identification at certain Slovak banks.

What taxes will I pay as a small business?

In 2026, legal entities with annual income of up to EUR 100,000 are subject to a reduced corporate income tax rate of 10%. If you operate as a sole proprietor, the system allows the deduction of so-called “flat-rate expenses” (a fixed percentage of expenses without supporting documents), which makes the tax burden minimal.

When is a company required to register for VAT?

Mandatory VAT registration arises if your company’s turnover in Slovakia over the last 12 months exceeds the threshold of EUR 50,000. It is also possible to register for VAT voluntarily at the launch stage if this is necessary for working with your European counterparties.
