Opening a crypto company (CASP) in Poland
In 2025, Poland became one of the leading European jurisdictions for crypto business: more than 150 crypto companies were registered here, and the transaction volume exceeded €2 billion.
The European regulations MiCA (Markets in Crypto-Assets Regulation) and DORA (Digital Operational Resilience Act), which came into effect in December 2024, unified the requirements for cryptocurrency service providers throughout the EU.

Below — a detailed step-by-step guide on how to open your own crypto company, taking into account national and European legislation.
- Choice of legal form and statutory provisions
The most common form is a Spółka z ograniczoną odpowiedzialnością (Sp. z o.o.), the equivalent of a Ukrainian LLC. This structure combines limited liability of the founders and ease of management.
We include in the charter the types of activities under Art. 3 MiCA: exchange services, storage, transfer of virtual assets and issuance of tokens.

- Company registration in the KRS
The next step is submit documents to the Krajowy Rejestr Sądowy (KRS). We register the company through the S24 portal or traditionally with a notary.
After entering the statute into the register, the company receives an extract from the KRS, as well as REGON (statistical) and NIP (tax) codes.
It is important to immediately indicate the address of legal registration and appoint a director with a PESEL number – an EU citizen or resident.
- Opening a bank account
Without a bank account, further transactions are impossible. We will prepare a package of KYC documents: extract from the KRS, articles of association, certificate of the director from PESEL, confirmation of sources of financing.

- Appointment of AML officer and internal policies
According to the Polish AML Act (Ustawa o przeciwdziałaniu praniu piejędzień) and MiCA, crypto companies are required to appoint an AML/KYC officer who resides in Poland and holds a local PESEL.
We develop and implement internal policies: procedures for customer identification, transaction monitoring and reporting to GIIF-PL and the European FIU. Our service package includes staff training and auditing of these policies.
- Applying for a CASP license under MiCA & DORA
MiCA regulates the activities of Crypto-Asset Service Providers (CASP), so the company Sp. z oo must submit an application to the KNF, the Polish financial services regulator.
Included in the set of documents:
- regulations,
- confirmation of a certain initial capital (minimum EUR 125,000),
- internal AML/KYC policies,
- technical solution for security and privacy.

- Tax registration and reporting
After obtaining a CASP license, registration with the Urząd Skarbowy as a VAT payer follows if the company plans to issue stablecoins or other operations with VAT on goods.
We will advise on the choice of tax base — general or special (22% tax on electronic services), and we will also prepare quarterly and annual reports for PPWiN.
- Technical and operational readiness
MiCA and DORA have strict requirements for cybersecurity and IT resilience. Our team works with custody providers, deploys multi-sig cold wallets, and implements transaction monitoring that complies with articles 5–7 of MiCA.
We separately implement GDPR- and DORA-compliant personal data protection policies.
- Publication of documents and transparency
MiCA regulation requires publicity: Terms & Conditions, White Paper or Prospectus should be available to customers.
We prepare English, Polish and, if necessary, Ukrainian versions of these documents, ensuring compliance with Art. 18–22 MiCA regarding risks, stress tests and pricing policies.
- Post-license support
After receiving CASP, you should systematically update customer KYC data, conduct external AML audits, and submit quarterly reports.
