Cyprus LTD for international business: company registration, registered office, secretary, KYC/AML preparation, tax registration, corporate account opening, accounting, and post-launch support.
Cyprus in 2026 is no longer "tax magic," but a structured EU jurisdiction with fairly clear rules of the game. Yes, the corporate tax was raised to 15%. But Cyprus still holds its ground thanks to a combination of: English-language corporate practice, an extensive DTT network, the IP Box regime, predictable company registration, and a strong infrastructure of service providers.
In 2026, registering a company in Cyprus requires not only the formal opening of an LTD but also a proper governance structure. The law firm Prikhodko & Partners is one of the leading partners for Ukrainian business in matters of company registration and support in Cyprus.

What is included in the support for opening an LTD in Cyprus
We do not limit ourselves to formal incorporation. In Cyprus, it is important to immediately think not only about registration documents, but also about how the company will pass KYC, open an account, prove management, conduct accounting, and work with counterparties.
Comprehensive support may include:
choosing the company model: operating LTD, holding structure, IP company, or other format for your business logic;
preparation of the corporate package: name, ownership structure, directors, secretary, registered office, Memorandum & Articles of Association;
KYC / AML preparation: documents on founders, directors, UBOs, source of funds / source of wealth, and a description of the business model;
company registration: submitting documents to the registrar and obtaining corporate certificates;
tax actions: tax number, VAT if necessary, accounting support, financial reporting, and audit depending on the case;
account and further launch: preparation for a bank or EMI, contracts, operational model, substance, and legal support after registration.
How company registration in Cyprus takes place
The process of registering a Cyprus LTD consists of several stages. We coordinate each of them so that the company is not just created in the register, but ready for further compliance, tax actions, an account, and operational work.
01 Designing the structure and substance
We agree on the type of activity, ownership structure, UBOs, directors, secretary, place of management, future counterparties, and payment logic. In 2026, governance, minutes, and actual management are no longer decoration, but a part of tax and banking logic.
02 Selecting and approving a name
We check the uniqueness of the name and restrictions regarding certain words. “Ltd / Limited” is the standard for a private company, but words like “Bank,” “Insurance,” “Trust,” or other sensitive wording may require additional approvals or licenses.
03 Preparation of the corporate package
We prepare the Memorandum & Articles of Association, standard registration forms, data regarding the registered office, directors, secretary, shareholders, and a KYC/AML package for founders and beneficiaries.
04 Company registration and obtaining certificates
We submit documents to the registrar and, after incorporation, assist in obtaining the main corporate documents: Certificate of Incorporation, Certificate of Directors & Secretary, Certificate of Registered Office, and if necessary, Certificate of Shareholders and certified constituent documents.
05 Tax actions, account, and operational launch
After registration, we help with the UBO Register, tax numbers, VAT if necessary, accounting, banking or EMI account, contracts, and further legal support of the company.
Prikhodko & Partners team of specialists for legal business support in Cyprus
Cyprus is the EU. Documents are needed not “for a checkmark,” but for the registrar, corporate provider, bank, or EMI. The more transparent the structure and business model at the start, the less chaos there will be at the compliance stage.
Passports / IDs: documents of founders, directors, shareholders, and ultimate beneficiaries.
Proof of address: a utility bill or bank statement showing the name and residential address.
Description of the business model: what the company does, who the clients are, the countries of operation, expected payments, and counterparties.
Activity profile: website, presentation, contracts, invoices, beneficiary’s CV, or other materials explaining the logic of the business.
Source of Funds / Source of Wealth: explanations and documents regarding the origin of the funds used to start the business or for future operations.
Bank account and KYC/AML for a Cyprus company
Opening an account is often more difficult than registering the company itself. A bank or EMI looks not only at the jurisdiction, but also at the common sense in the financial model: who the owner is, where the funds come from, who the clients are, why Cyprus is needed, what operations are planned, and whether the company has a clear economic logic.
When the business logic is transparent, compliance doesn’t fight. When the request sounds like “I just need a bank account,” compliance does its job.
How we help with the account
we analyze the business model, future payments, and countries where the company operates;
we prepare a description of the activity for the KYC / AML check;
we structure information about UBOs, directors, source of funds, and counterparties;
we evaluate what is better for the specific case: a classic bank, a niche bank, or an EMI;
we support the preparation of documents and communication until the account is opened.
Substance and tax residency of the company
In 2026, tax residency and company “manageability” became an even more technical topic. For Cyprus, it is important not just to have a registered LTD, but to understand where decisions are made, who actually manages the company, how minutes are drawn up, where the director is located, and whether there is sufficient logic for a presence on the island.
Substance does not always mean the same set of expenses for everyone. For some models, proper corporate administration and clear governance logic are sufficient. For others, an office, local director, employees, contracts with Cyprus providers, or other elements of real presence may be needed.
What is evaluated
the place of company management;
the composition of directors and powers of signatories;
minutes and corporate decisions;
office, personnel, or providers if necessary;
real business logic of the presence in Cyprus.
What we do
we determine substance risks before registration;
we explain which elements are needed specifically for your model;
we help not to overpay for unnecessary “infrastructure”;
we prepare the company for tax and banking compliance;
we coordinate work with local providers.
Taxes and expenses for a company in Cyprus
The Cyprus tax model has become stricter, but at the same time more understandable. For international business, the key question is no longer “where is the lowest rate,” but whether the structure can withstand KYC, substance, banking compliance, CFC analysis, and counterparty verification.
Indicator
Guideline
Comment
Corporate Income Tax
15%
Standard corporate tax rate from 2026.
VAT
19%
Standard VAT rate. Registration depends on activity, turnover, place of supply, and type of clients.
Dividends to non-residents
depends on the recipient
In classic structures, outbound dividends often do not have WHT, but special rules may apply for certain payments to low-tax / blacklisted jurisdictions.
IP Box
up to ~3% effective
Can be applied to qualifying IP profits provided the nexus approach is met.
Annual Levy
€350 abolished
The annual company levy has been abolished since 2024. Historical debts for previous periods are checked separately.
Accounting and audit
depends on the case
A company must keep records and submit reports. The specific volume depends on the activity, turnover, and structure.
IP Box, holding structure, and additional tax tools
Cyprus remains interesting not only for basic incorporation, but also for more complex structures: IT companies, holdings, groups with international dividends, IP assets, or investment logic. But these tools do not work “automatically,” and only when the structure corresponds to the real business model.
IP Box for IT
The IP Box regime can yield an effective rate of around 3% for qualifying IP profits, but only subject to compliance with the Modified Nexus Approach and a proper documentary basis.
DTT and holding
Cyprus has an extensive network of double taxation treaties, so it can be used as a holding or investment jurisdiction in international structures.
NID and other incentives
For capital-intensive structures, Notional Interest Deduction and other tools may be considered, but their expediency must be evaluated separately for the financial model.
After registration: what is often forgotten
Registering a company does not mean completing the launch. The most important part begins after incorporation: tax registrations, UBO, accounting, banking compliance, contracts, and regular corporate administration.
UBO Register: you need to submit data on beneficiaries, update them after changes, and undergo confirmation according to the register’s rules.
Tax number and VAT: tax actions depend on the business model, clients, turnover, and nature of operations.
Accounting and reporting: the company must keep records, store documents, and submit necessary reports.
Banking compliance: a bank or EMI may request contracts, invoices, explanations of operations, source of funds, and confirmation of business logic.
Corporate changes: changes of directors, shareholders, address, structure, or powers must be executed correctly and on time.

Frequently asked questions
The corporate tax rate in Cyprus was raised to 15%. Doesn't this create problems for Ukrainian business?
On the contrary, it is a strategic advantage. The Tax Code of Ukraine provides for exemption from CFC taxation if the effective rate in the foreign jurisdiction is at least 13%. The 15% rate in Cyprus automatically allows legally exempting the profit of a Cyprus company from additional taxation in Ukraine.
How does the updated IP Box regime for IT companies work?
The Cyprus IP Box applies the Modified Nexus Approach, where the benefit depends on actual development costs. If a company develops software locally, 80% of qualifying profit is exempt from taxes. The 15% corporate tax applies only to the remaining 20% of profit, giving an effective tax rate of 3%.
Is it necessary to pay tax on undistributed profit and the annual company levy?
No. The Deemed Dividend Distribution (DDD) rule was completely abolished for profits generated from January 1, 2026. The annual fixed Annual Levy of €350 was also abolished starting in 2024.
Can I get Cyprus tax residency as a business founder?
Yes, the “60-day rule” applies to business founders. It allows you to obtain tax resident status by staying in Cyprus for only 60 days a year if you own or rent housing, have business ties to the country, and are not a tax resident of another state.
What is Notional Interest Deduction (NID) and who is it suitable for?
NID is a powerful incentive for capital-intensive businesses (e.g., industrial or investment holdings). It allows deducting notional interest on the amount of new equity capital introduced from the taxable base. The deduction amount equals the yield of 10-year government bonds of the country of investment plus 5%. This tool can reduce taxable profit by up to 80%.
