Case: Developed an agreement on the creation and monetization of a YouTube channel
Case Summary
Two partners — a content creator and a technical producer — approached us with the idea of launching a YouTube channel about cars, with future monetization through ads, sponsorships, and merchandise.
They had the idea, resources, and experience — but lacked a clear legal mechanism to protect themselves in case of conflict or income distribution issues.
Legal Task
To prepare an agreement that:
- defines each partner’s share of profits (including YouTube Ads, Patreon, sponsorships);
- establishes intellectual property rights over the videos, brand, logo, and channel;
- outlines the procedure for exiting the project and transferring rights;
- includes a non-compete clause (no similar channels on the same topic without permission);
- assigns signing authority for brand contracts.
Solution
We drafted:
- A partnership agreement with detailed collaboration terms;
- An additional agreement on distribution of rights to the content and channel;
- A mechanism for login/password transfer via a separate administrator;
- Provisions on personal liability for copyright violations or demonetization.
Result:
The channel launched two weeks after signing the agreement. In the first month, it gained over 100,000 views and received its first sponsorship offer.
