Business Setup and Support in Romania

Open a turnkey company in Romania: SRL registration, legal address, accounting, VAT / EORI, bank or EMI support, and further business support.

Romania can be a practical jurisdiction for Ukrainian entrepreneurs planning to work with EU counterparties, launch e-commerce, IT, trading, service, or manufacturing businesses.

The lawyers of "Prikhodko & Partners" provide comprehensive support for business registration in Romania: they help determine the optimal structure, prepare documents, and organize the key stages of launching a company — from registration to accounting, VAT, payment infrastructure, and licenses if necessary.

We work with Ukrainian and international owners, coordinate the process with local partners, and provide post-registration company support when the business needs accounting, corporate changes, contracts, or further legal services.

Main forms of business in Romania

  1. Societate cu Răspundere Limitată (SRL) – LLC

  2. Societate pe Acțiuni (SA) – Joint-Stock Company
Suitable for large businesses. The minimum authorized capital is 90,000 RON (approximately 18,000 euros). Allows public offering of shares.
  3. PFA – Sole Proprietorship

  4. Partnerships
General Partnership (SNC) and Limited Partnership (SCS) are rarely used and mainly for specialized projects.

Step-by-step business registration in Romania

Step 1: Reserving a company name
Checking for uniqueness through the National Trade Register (ONRC). The reservation is valid for 3 months.

Step 2: Preparation of statutory documents
Preparation of the company’s articles of association (Act Constitutiv), appointment of a director, and notarization of signatures.

Step 3: Legal address
You can rent a physical office or use a virtual office service.

Step 4: Opening a bank account
Depositing the authorized capital and obtaining a certificate from the bank.

Step 5: Registration with ONRC
Submission of the full package of documents to the National Trade Register. The registration period is from 3 to 5 working days.

Assignment of a tax number (CUI). VAT payer registration is required if the turnover exceeds 300,000 RON per year.

Step 7: Licenses and permits.
For certain types of activities, special permits may be required — for example, for fintech or the food business.

Frequently asked questions

Is it mandatory to have a legal address in Romania?

Yes. During registration, you must provide a document confirming the right to use the premises at the address of the future registered office. For foreign owners, this can be a lease agreement or a legal address service.

Is it necessary to immediately register as a VAT payer?

Not always. The need for VAT registration depends on the planned turnover, type of activity, work with EU clients, imports or exports, and other specifics of the business model. Before launching, it is worth assessing the tax burden and choosing the optimal registration option.

Why shouldn't you just add all possible CAEN codes to the company?

Activity codes affect not only formal registration but also bank compliance, contracts, obtaining permits, and further business scaling. From 2025, the CAEN Rev. 3 classifier is applied in Romania, so the list of codes is better formed according to the actual sources of income and the planned work model.
