Main forms of business in Romania
- Societate cu Răspundere Limitată (SRL) – LLC
The most popular form of doing business. The minimum authorized capital is 500 RON (approximately 100 euros). From 1 to 50 participants are possible. Liability is limited to the contribution to the authorized capital.
- Societate pe Acțiuni (SA) – Joint-Stock Company
Suitable for large businesses. The minimum authorized capital is 90,000 RON (approximately 18,000 euros). Allows public offering of shares.
- PFA – Sole Proprietorship
The simplest form, suitable for freelancers and small businesses. A simple registration process, but personal liability for obligations applies.
- Partnerships
General Partnership (SNC) and Limited Partnership (SCS) are rarely used and mainly for specialized projects.
Step-by-step business registration in Romania
Step 1: Reserving a company name
Checking for uniqueness through the National Trade Register (ONRC). The reservation is valid for 3 months.
Step 2: Preparation of statutory documents
Preparation of the company’s articles of association (Act Constitutiv), appointment of a director, and notarization of signatures.
Step 3: Legal address
You can rent a physical office or use a virtual office service.
Step 4: Opening a bank account
Depositing the authorized capital and obtaining a certificate from the bank.
Step 5: Registration with ONRC
Submission of the full package of documents to the National Trade Register. The registration period is from 3 to 5 working days.
Step 6: Tax registration and VAT.
Assignment of a tax number (CUI). VAT payer registration is required if the turnover exceeds 300,000 RON per year.
Step 7: Licenses and permits.
For certain types of activities, special permits may be required — for example, for fintech or the food business.
