Goal: Assist a non-resident client in successfully registering an IT company in Spain, ensuring compliance with all legal, financial, and administrative requirements.
Registering a company in Spain for a non-resident can seem like a daunting task due to the various legal and administrative requirements. The successful story of our Client – an entrepreneur from Ukraine demonstrates that with the right approach and preparation, it is possible.
Stages of work
The first step before the successful registration of the company in Spain, there was a market study. Our team conducted a thorough analysis of the Spanish IT services market, where the Client planned to open his company. A detailed business plan was developed, which included an analysis of competitors, and potential customers, as well as a financial forecast for the first three years of operation.
The client decided to register a limited liability company (SL – Sociedad Limitada) because this form of company offers a number of advantages, such as limited liability of owners and a relatively simple registration process.
The first legal step for the Client was to obtain a Non-Resident Identification Number (NIE). This number is required to carry out any legal activity in Spain, including opening a bank account and registering a company.
Next, we applied to the Central Commercial Registry of Spain to reserve the company name. After verifying the uniqueness of the name, a certificate was obtained confirming that the chosen name could be used for registration.
In the next step, a bank account was opened in the name of the future company. The client has contributed the minimum authorized capital, which is a requirement for SL registration.
Prepared the founding documents of the company, including the charter and minutes of the founders’ meeting, and notarized them. The notary also issued a certificate on the payment of the authorized capital.
After completing all the previous steps, submitted documents to the Commercial Register of Spain for the official registration of the company. After reviewing and approving the documents, the company was officially registered.
After registering the company, the Client received a tax identification number (CIF), which is necessary for paying taxes and conducting commercial activities in Spain.
A new company was also registered with the Spanish social security system to be able to hire employees and meet social contribution obligations.
After completing all the formal procedures, the Client opened an office in Barcelona and started hiring employees. He also signed contracts with suppliers and launched a marketing campaign to attract customers.
Thanks to careful preparation and strict compliance with all legal requirements, we helped to successfully register the company in Spain and quickly start business for the Client. During the first months of operation, the company attracted several large clients and showed significant financial growth.
