SIMPLIFICATION OF THE REGISTRATION PROCEDURE OF LLC. FROM NOW ON, YOU CAN REGISTER THE COMPANY ONLINE

The Cabinet of Ministers of Ukraine has returned entrepreneurs the opportunity to register a legal entity online. Simultaneously with the registration you can choose the tax system. Appropriate decisions were made at the Cabinet meeting on March 27. It should be noted that the system of online registration of LLC will only work in April.

Draft solutions are developed by representatives of BRDO, Ministry of Economy, Ministry of Justice, Minregion and business associations.
Recall that by 2018 it was possible to register a legal entity in Ukraine online, but provided that the LLC was executed according to the model statute approved by the Cabinet of Ministers Decree No. 1182 dated November 16, 2011. But when the Law "On Limited Liability Companies" came into force in June 2018, this system ceased to work, since the version of the model statute of LLC ceased to comply with the law.
Upon coming into force of the government's decisions, a new version of the model statute will start working. If before the entrepreneurs proposed a common template, now the model statute is automatically formed for the needs of the entrepreneur. You can also choose a tax system online (single tax, VAT).
The model statute is actually a statute template for LLC, approved by the Cabinet.
In particular, in the Decree of the CMU on certain issues of deregulation of economic activity, the Ministry of Justice of Ukraine is responsible for ensuring:
- development of the algorithm for the formation of the digital code of the model statute, which allows the automatic identification of the editorial staff statute, on the basis of which the limited liability company carries out activities;
- until April 25, 2019, the modernization and introduction of electronic services for state registration of the creation of a limited liability company operating on the basis of the model statute, as well as the transition of a limited liability company to activities based on the model statute, which provides:
- Formation of the founders' decision on the establishment of a limited liability company and its signing by all founders using a qualified electronic signature;
- formation of the decision of the general meeting of the members of the limited liability company on the transition to activities based on the model statute and its signing by all the participants who voted for the adoption of such a decision, using a qualified electronic signature;
- the possibility of choosing and forming a version of the model statute and its signing by the respective founders (participants) using a qualified electronic signature;
- access to the editorial revision of the model statute, on the basis of which the limited liability company carries out activities, and information on the relevant digital code of the model statute, as well as the disclosure of the information in the form of open data;
- question-hints explaining to the applicant the legal consequences of choosing a certain provision of the model statute;
- By September 1, 2019, the choice of the English language interface of the relevant electronic services by the applicant, which includes the translation of English question-tips and the text of the model statute.
